The following are terms of a legal agreement ("Agreement") between you and TrueSport.com Inc. If You have a question about these terms or our service that is not addressed in this document, please contact us by sending an email via our website.

PLEASE READ THIS AGREEMENT CAREFULLY

This agreement was revised on April 05, 2010.

The terms and conditions contained herein describes the terms upon which TrueSport.com Inc. offers you access to the services provided on its web site (the "Site"). This Agreement applies to and governs your use of the Site and such use is expressly conditioned upon your acceptance of the terms and conditions set forth herein. Please read these terms and conditions of use carefully. By registering, accessing, browsing and/or otherwise using the Site, you acknowledge that you have read and understood the Agreement and that you agree to be bound by the terms and conditions contained herein and to comply with all applicable laws and regulations. If you do not agree to all of these terms and conditions, you may not register, access, browse and/or otherwise use this Site. BY REGISTERING TO USE THIS SITE, YOU ARE INDICATING THAT YOU ACCEPT THE TERMS AND CONDITIONS STATED BELOW. If you have any questions regarding this Agreement, please contact us at admin@TrueSport.com.

The Site is controlled and operated by TrueSport.com Inc. from its offices within the United States. TrueSport.com Inc. makes no representation that information, data or materials available on or through this Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access the Site from locations outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.

I. USE RESTRICTIONS.
A. Eligibility. This Site and any services or products offered on the Site are not available to minors or any other individuals who cannot form legally binding contracts under Indiana law. 
B. Abuse of Site. You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site. You may not take any action that imposes an unreasonable or disproportionately large load on the Site's infrastructure. You may not disclose or share your password to any third parties or use your password for any unauthorized purpose. TrueSport.com Inc. may terminate your membership and any of your current listings immediately if you breach this Agreement or if TrueSport.com Inc. is unable to verify or authenticate any information you provide to us. TrueSport.com Inc. shall incur no liability in connection with such termination.

C. Intellectual Property.
1. Copyright. All Site materials, including, without limitation, text, graphics, other files, and the selection and arrangement thereof, are copyrighted materials of TrueSport.com Inc., and/or its affiliated companies, licensors and suppliers, © 2004, ALL RIGHTS RESERVED. Permission is granted to display, copy, distribute, and download the materials on this Site for personal, noncommercial use only, provided that you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. You may not, however, distribute, copy, reproduce, display, republish, download, or transmit any material on this Site for commercial use without prior written approval of TrueSport.com Inc. You may not "mirror" any material contained on this Site on any other server without prior written permission from TrueSport.com Inc. Any unauthorized use of any material contained on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes.

2. Trademarks. The trademarks, service marks, trade names, and logos (the "Trademarks") used and displayed on this Site are registered and unregistered Trademarks of TrueSport.com Inc., and/or its affiliated companies, licensors and suppliers. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks and/or trade dress of TrueSport.com Inc., and/or its affiliated companies, licensors and suppliers, and may not be copied, imitated or used, in whole or in part, without the prior written permission of TrueSport.com Inc. You acknowledge that the Trademarks used and displayed on this Site are and shall remain the sole property of TrueSport.com Inc. or the Trademark owner. Nothing in this Agreement shall confer any right of ownership of any of the Trademarks in you. Further, nothing in this Site shall be construed as granting, by implication, estoppel or otherwise any license or right to use any Trademark used or displayed on the Site, without the express written permission of TrueSport.com Inc. or the Trademark owner. The misuse of the trademarks displayed on this Site, or any other content on the Site, is strictly prohibited.

D. Hyperlinks. If you operate a Web site and wish to link to the Site, you are granted a limited, nonexclusive right to create a "hypertext" link to the Site; provided that such link is to the entry page of this Site and does not portray TrueSport.com Inc. or any of its products or services in a false, misleading, derogatory, or otherwise defamatory manner. TrueSport.com Inc. reserves the right to reject or terminate any links to the Content or the Service for any reason. This limited right may be revoked at any time for any reason whatsoever. You may not use framing techniques to enclose any TrueSport.com Inc. trademark, logo or trade name or other proprietary information including the images found at the Site, the content of any text or the layout/design of any page or any form contained on a page without TrueSport.com Inc.'s express written consent. Links to third party sites on this Site are provided solely as convenience to you. If you use these links, you will leave this Site. TrueSport.com Inc. has not reviewed all of these third party sites and does not control and is not responsible for any of these sites, their content or their policies, including, without limitation, privacy policies, term of use agreements, or the lack thereof. TrueSport.com.com Inc. does not endorse or make any representations about third party sites or any information, products, services, or materials found there, or any results that may be obtained from using them. If you decide to access any of the third party sites linked to this site, you do so entirely at your own risk. You acknowledge and agree that TrueSport.com Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with the use of or reliance on any such third party sites.

E. Limited Access. Access to this Site is limited to the linked Web pages. Except as otherwise expressly permitted by TrueSport.com Inc., any access or attempt to access other areas of the TrueSport.com Inc. computer system or other information contained on the system for any purposes is strictly prohibited. You agree that you will not use any robot, spider, other automatic device, or manual process to monitor, "mine," or copy the Web pages on the Site or the content contained therein without TrueSport.com Inc.'s prior, express, and written permission. You will not "spam" or send unsolicited e-mail to any other user of the Site for any reason.

F. Login and Password.  The confidentiality of your login ID email address and password is solely your responsibility.  All registrations, changes and additions are your responsibility, whether they were authorized by you or not.   TrueSport.com Inc. should be notified immediately in the event of any unauthorized use of your registration.

G. Promotional Offers.  TrueSport.com Inc. reserves the right to cancel any promotional offers without notice.  Furthermore, TrueSport.com Inc. is not responsible for the quality or workmanship of any of the promotional items offered.

II. LISTING ON TrueSport.com.
All event listings on the Site shall be composed of text descriptions, graphics, pictures, and/or other visual descriptions submitted to TrueSport.com Inc. by a listing party. Listing information may include any information you provide to TrueSport.com Inc. during the registration process. With respect to your listing information, you agree that:

A. You are legally able to list the event(s) on the Site. 
B. You are solely responsible for your listing information, and TrueSport.com Inc. acts only as a passive conduit for your online distribution and publication of your listing information. However, TrueSport.com Inc. reserves the right to take any action with respect to such information it deems necessary or appropriate in its sole discretion, including, without limitation, deleting, editing or restricting or suspending access to such information. 
C. You hereby represent and agree that your listing information on this site shall not: (1) knowingly infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (2) violate any law, statute, ordinance or regulation (including without limitation those governing consumer protection, unfair competition, or false advertising); (3) be defamatory, libelous, unlawfully threatening or unlawfully harassing; (4) contain "adult" content, such as text, descriptions, graphics, pictures, and/or other files commonly referred to as being "adult" content, or 
D. You shall not send or transmit any text, descriptions, graphics, pictures, and/or other files that contain any viruses, trojan horses, worms, time bombs, uniform cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. 
E. You may not post on the Site any listing that by paying to us the transaction fee, could cause us to violate any applicable law, statute, ordinance or regulation.
F. You hereby grant TrueSport.com Inc. a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicenseable right to exercise the proprietary rights that you may have in your listing information, in any media now known or not currently known, with respect to your listing information, as necessary to accomplish the purpose of this agreement.

III. LIMITATION OF LIABILITY.
A. Refunds of entry fees collected by TrueSport.com Inc. are the sole responsibility of the Promoter.  TrueSport.com Inc. acts merely as a portal for entry fee collection and you acknowledge that TrueSport.com Inc. is not liable for entry fee refunds.  YOU HEREBY RELEASE TRUESPORT.COM INC. (AND TRUESPORT.COM INC.'S OFFICERS, DIRECTORS, AGENTS, SUBSIDIARIES, EMPLOYEES AND ANY THIRD PARTY PARTNERS AND/OR LICENSEES OF TRUESPORT.COM INC.) FROM ALL CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF ANY KIND OR NATURE, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH A CLAIM OR DEMAND. If you are a resident of any state that restricts the effect of a general release, you hereby waive any such provision to the fullest extent allowable by law and agree that this release of liability shall apply to this agreement to the fullest extent possible. 
B. The content of the Site is provided on an "as is" and "as available" basis and TrueSport.com Inc. makes no representations or warranties, express or implied, to any actual or prospective purchaser or owner of any item as to the existence, ownership, or condition of the item or as to the accuracy or completeness of any information about the listing contained in the Site. You acknowledge that any reliance upon any such materials shall be at your sole risk. TrueSport.com Inc. reserves the right, in its sole discretion, to correct any error or omission in any portion of the Site. 
C. TrueSport.com Inc. makes no representations or warranties, express or implied, that use of the Site is safe and cannot guarantee than any file(s) or web page(s) available for downloading from the Site will be free from viruses, trojan horses, worms, time bombs, uniform, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information of any user of the Site. 
D. YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR OWN RISK. NEITHER TRUESPORT.COM INC., NOR ANY OF ITS OFFICERS, DIRECTORS, AGENTS, SUBSIDIARIES, EMPLOYEES, THIRD PARTY PARTNERS, CONTENT PROVIDERS OR LICENSORS, MAKES ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE SITE, ANY ADVERTISING MATERIAL OR THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE. THE SITE IS PROVIDED ON AN "AS IS" BASIS AND TRUESPORT.COM INC. SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY OR WARRANTIES AGAINST INFRINGEMENT. TRUESPORT.COM INC., ITS OFFICERS, DIRECTORS, AGENTS, SUBSIDIARIES, EMPLOYEES, THIRD PARTY PARTNERS, CONTENT PROVIDERS OR LICENSORS SHALL IN NO EVENT BE LIABLE FOR ANY DAMAGES OR LOSSES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, RESULTING FROM OR CAUSED BY USE OF THE SITE, INCLUDING, WITHOUT LIMITATION, LOSSES RELATED TO: YOUR USE OR INABILITY TO USE THE SITE; ANY ERRORS, OMISSIONS OR DEFECTS IN THE CONTENT; OR ANY INTERRUPTIONS, DELAYS IN TRANSMISSION OR COMPUTER VIRUSES.

IV. USER RELATIONSHIP.
You and TrueSport.com Inc. are and shall remain independent contractors, and shall not be deemed to have an employer-employee, joint venturer, partnership, or franchisor-franchisee relationship for any purpose whatsoever. Accordingly, you shall be exclusively responsible for the manner in which you perform your duties under this Agreement and for the profitability or lack thereof of your activities under this Agreement. All financial obligations associated with your business are your own responsibility and you may not represent yourself as having any right or authority to obligate or bind TrueSport.com Inc. in any manner whatsoever. The payment of any and all sales or other tax, arising out of a transaction on this site, shall be the sole responsibility of the users of this site, and such users shall pay any such applicable taxes.

V. REVISIONS TO THIS AGREEMENT.
TrueSport.com Inc. may amend this Agreement at any time without notice by updating this posting. By using the Site, you agree to be bound by any such revisions and should therefore periodically visit the Site to determine the then current terms and conditions of use to which you are bound.

VI. MISCELLANEOUS.
A. Governing Law and Choice of Forum. 
This Agreement shall be governed by, construed, interpreted and the rights of the parties determined in accordance with the laws of the State of Indiana. All claims and disputes relating to or arising out of this Agreement shall be brought in a federal or state court situated in the State of Indiana. Each of the parties agrees to submit to the jurisdiction of such courts for all purposes of this Agreement.  Nothing contained herein shall be deemed or construed by the parties hereto, or by any third party, as creating the relationship of principal and agent, or of partnership, or of joint venture, between the parties. Whenever the masculine gender is used herein, the feminine and neuter gender shall be deemed included. This Agreement shall be construed without reference to the titles of paragraphs which are inserted for convenience only. This Agreement, if found to be ambiguous in whole or in part, shall not be construed against the party who prepared this Agreement, but shall be construed in accordance with other applicable rules of professional services. In the event any provision of this Agreement shall be deemed illegal or unenforceable, the remaining provisions of this Agreement shall not thereby be affected and such illegal or unenforceable provision shall be deleted herefrom. Promoter and TRUESPORT.COM, INC. hereby expressly, freely and voluntarily agree that any cause of action arising between the parties may be brought in a Court located in Marion County, Indiana and that Marion County shall be deemed to be a county of preferred venue. Promoter and TRUESPORT.COM, INC. each waives any entitlement each might otherwise have to a transfer of venue out of Marion County, Indiana under any preferred venue requirements of Indiana Trial Rule 75 or any other venue rules or laws which might be applicable.  In the event it becomes necessary for TrueSport.com, Inc. to turn this matter over to an Attorney or Collection Agent, the Promoter(s) shall agree to pay all collection fees, Attorney fees, and court costs as incurred.  A lien may be placed against the Promoter's property for non-payment for services provided.
B. Entire Agreement. This Agreement constitutes the entire agreement and understanding of the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, representations and warranties, whether oral or written, relating to the subject matter hereof. The terms of this Agreement cannot be changed, modified, released or discharged orally.
C. Severability. If a court of competent jurisdiction determines that any clause or provision of this Agreement is void, illegal, or unenforceable, the other clauses and provisions of the Agreement shall remain in full force and effect and the clauses and provisions which are determined to be void, illegal, or unenforceable shall be limited so that they shall remain in effect to the extent permissible by law.
D. Headings. The headings of the sections and subsections contained in this Agreement are for reference purposes only and shall not in any way affect the meaning, interpretation, enforceability or validity of this Agreement.
E. Privacy Policy. As a user of the Site, you shall be bound by our Privacy Policy, which is incorporated herein by reference. 
F. Notices. Except as explicitly stated otherwise, any notices shall be sent via E-mail to truesport@truesport.com (in the case of TrueSport.com Inc.) or to the E-mail address you provide to TrueSport.com Inc. during the registration process (in your case), or such other address as the party shall specify. Notice shall be deemed given twenty-four (24) hours after E-mail is sent, unless the sending party is notified that the E-mail address is invalid. Alternatively, TrueSport.com Inc. may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to TrueSport.com Inc. during the registration process. In such case, notice shall be deemed given three (3) days after the date of mailing.
G. Access to Site. TrueSport.com Inc. does not guarantee continuous, uninterrupted or secure access to the Site, and the operation of the Site may be interfered with by numerous factors outside of our control.

VII. JURY TRIAL WAIVER.
After consulting or having had the opportunity to consult with counsel, the parties hereby knowingly, voluntarily and intentionally waive the right to a trial by jury in the event of any dispute of any kind between the parties. Neither party shall seek to consolidate, by counterclaim or otherwise, any action in which a jury trial has been waived with any other action in which a jury trial cannot be or has not been waived. This waiver is absolute and unconditional and cannot be modified in any respect except in a written instrument signed by both parties.

Privacy Policy:
Personally identifiable information you provide TrueSport.com Inc. when you sign up will not be sold or given to outside sources without your permission.

1. Sign-up Information 
In order to add a race listing on TrueSport.com Inc., you must become a TrueSport.com Inc. member. The member registration process requires that you provide your name, and email address.

2. Listing Descriptions 
In an effort to facilitate a trusting race registration community, we provide you with the ability to submit a listing description of your event. When you post your listing on TrueSport.com Inc., the listing description displayed on the site and accessible to visitors on TrueSport.com Inc. We will not post listings that are obscene, offensive, harmful to minors, an invasion of privacy, promote hatred, violence, or racism, so please do not upload them. Listings are subject to approval and must meet the Listing Guidelines herein by reference.

3. Our Use of Cookies 
TrueSport.com Inc. uses cookies to provide you access to protected pages without requesting a login each time. Cookies are small files that are placed on your computer when you visit our site. Our web site will reference and update the cookie each time you visit TrueSport.com Inc.. We use cookies to deliver content specific to you, for pages such as your listing and your "My Page". We accomplish this by storing encrypted information that uniquely identifies you in a cookie.

4. Public Access to Information
The information that you provide when you create a listing is posted in public areas and available to all visitors. Please remember that any information that is disclosed in these areas becomes public information, so please exercise caution.

5. Security 
This site has security measures in place to protect the loss, misuse, and alteration of the information under our control. All member data and activity is stored separately and is not directly accessible through a web browser. We use industry standard procedures and processes to safeguard the confidentiality of your identifiable personal information, such as firewalls, encryption, token authentication, monitoring technology, and adaptive analysis of network traffic to track abuse of our network and its data. Unfortunately, when you submit information about yourself to TrueSport.com Inc. over the Internet, the information may travel over many systems that are not under the control of TrueSport.com Inc. The Internet is not 100% secure and others might intercept the information that you are sending. Remember that your account is accessible only through the use of your Password.

6. Who will have access to my personal information? 
Our priority is to keep your personal information private and confidential. TrueSport.com Inc. will not willfully disclose, rent, or sell your personal information to third parties. However, certain personal information will be available to others in the process of using TrueSport.com Inc. For example, visitors to TrueSport.com Inc. may view information you provide for your race listing such as your name, phone number and address.

Of course, once you provide personal information, TrueSport.com Inc. has no control over how that information might be used by that individual.

TrueSport.com Inc. may choose to disclose your personally identifiable information to others under the following circumstances:

· You consent to share your information.

· In response to a criminal investigation, subpoena, court order or legal process.

· Your actions on TrueSport.com Inc. appear to be in violation of our policies.

· You post a listing which we believe, in our sole discretion, may create a liability for TrueSport.com Inc.

Nothing in this policy shall limit, prohibit, or otherwise deny the ability of TrueSport.com Inc. to (1) transfer, assign, or sell our assets to a third party without limitation, or (2) dispose of our assets in any manner, through bankruptcy or similar proceeding. In addition, TrueSport.com Inc. makes no warranties or claims regarding the accuracy or completeness of the information we collect and disclose through our site, and disclaims any liability regarding its use.

Listing Guidelines
All listings and transactions on TrueSport.com Inc. must comply with the Listing Guidelines and User Agreement. 
Rules for listings on TrueSport.com Inc.: 
- You are not permitted to link to, display, or advertise (through the use of email addresses, URLs, images, or any other contact information) goods or services for which you are not listing on TrueSport.com Inc. 
- You may not include any content or images in your listing that are obscene, offensive, harmful to minors, an invasion of privacy, or otherwise inappropriate. 
- You may list any event that you are not the rightful Promoter of or any event that does not exist at the time of the listing. 
-You are not permitted to send unsolicited email or messages to TrueSport.com Inc. or any members of TrueSport.com Inc. 
- You may not use or manipulate this service for any fraudulent activity or purpose. 
- You may not disrupt TrueSport.com Inc. operations or service. This includes the use of any automated routines used to gather or generate information via our web site, or any other repetitive action that may degrade the performance of our systems. 
- Your listing must be in English, however it may contain words in another language, if necessary, in order to describe a particular event listing.

Offensive Material 
Listings that promote hatred, violence, racism, or intolerance are not permitted on TrueSport.com Inc.

URLs, Links, and Contact Information 
TrueSport.com Inc. permits Promoters to reference any number of URLs (or links) that provide further information about event listings. However, TrueSport.com Inc. does not allow links that: 
-provide an alternative means for sales of any item or service 
- reference a competitor of TrueSport.com Inc.
-reference obscene, offensive, or inappropriate material

Spamming 
TrueSport.com Inc. does not condone spamming. TrueSport.com Inc. URLs (for example, links to listings or affiliate programs) are not permitted in any mass marketing or unsolicited commercial email campaigns.

TrueSport.com Inc. will take action if it is clear a member has participated in spamming.

Keyword Spamming 
TrueSport.com Inc. does not allow the superfluous use of keywords or phrases in listings. Keywords that do not add substantive value to the description or the context of the listing are considered superfluous. This includes referencing brand names (in either the listing title or description) which are not being sold in the listing.

Right to terminate and suspend 
TrueSport.com Inc., at its' sole discretion, may terminate or suspend any event listing or TrueSport.com Inc. membership immediately, and without notice, if we believe that you have not acted in compliance with the TrueSport.com Inc.'s User Agreement and Listing Guidelines.

Restricted language 
TrueSport.com Inc. prohibits the use of language that is vulgar, racist, hateful, overtly sexual, or obscene in nature in public display on TrueSport.com Inc.. We may permit certain listings that contain profane words as part of a title, domain, or product name. However, these words will only be permitted when displayed with asterisks (or similar substituted characters) in an effort to censor profane words.

Listings that fail to follow these guidelines will be removed. Failure to follow TrueSport.com Inc. listing guidelines may result in permanent suspension of your account.
